XPO Logistics Sues Trucker YRC, Charging Rival ‘Poached’ Executives, Trade Secrets

Logistics company says trucking giant sought employees and confidential information after XPO acquired Con-way Inc.

XPO Logistics Inc. is suing competitor YRC Worldwide Inc. over the hiring of several former employees, alleging that the trucking company conspired to steal customer and pricing secrets by poaching its executives.
The lawsuit, filed Feb. 3, pits two of the largest trucking companies in the U.S. against each other over the trade secrets that are at the heart of the highly competitive freight shipping market.
The complaint grew out of XPO’s takeover last October of Con-way Inc. and its Con-way Freight unit that is the second-largest in the country offering less-than-truckload service, in which shipments from multiple customers are combined on trucks. YRC Freight is No. 3 in that market.
In its complaint, XPO asks the court to order YRC to return any trade secrets and company information it holds and to stop employing for a year former XPO employees, including two top executives who had come to XPO through the company’s acquisition of Con-way.
XPO alleges in the complaint that two of the employees, longtime senior executives at Con-way Freight, had “informally” accepted job offers with the competitor weeks before their departures but delayed their resignations. XPO said it believes that was so the executives could get more “confidential information and trade secrets, including but not limited to its most valuable competitive strategies” as XPO prepared to restructure the Con-way operation.
A YRC Worldwide spokesman said in an email that the company declined to comment on the complaint.
The lawsuit comes after XPO, which under Chief Executive Bradley Jacobs has used a rapid series of recent acquisitions to become a multibillion-dollar freight brokerage and transportation services provider, moved directly into the trucking market last year with its $3 billion purchase of Con-way.
Last month, YRC said it had hired former Con-way executives Paul Lorensen and Chet Richardson as vice presidents. XPO said the executives had moved to YRC last November, days after the XPO acquisition had closed.
XPO said in the lawsuit that Messrs. Lorensen and Richardson were “highly compensated, given extensive training, and entrusted with XPO Freight’s highest level of Confidential Information and Trade Secret.” It said the executives were part of a steering committee that worked closely with McKinsey & Co. on a strategic project to transform the company, and helped develop potential new segmented service offerings aimed specifically at competing with YRC.
Reached by phone, Mr. Lorensen said he would have no comment on the complaint. Mr. Richardson did not respond to emails and other messages seeking comment on the allegations in the XPO complaint, and a YRC spokesman said he and Mr. Richardson wouldn’t comment on pending legislation.
The lawsuit accuses YRC of encouraging the executives to “remain surreptitiously at XPO Freight for several weeks before ending their employment,” of falsifying offer letters and of encouraging the executives to disclose the confidential information.
In addition, XPO said, “YRC is offering each poached sales employee a special commission or bonus for each XPO Freight customer they bring with them to YRC.”
The other employees named in the lawsuit were sales and operations personnel hired by YRC that XPO said had “confidentiality obligations.”
Since acquiring Con-way, XPO made a series of cost reductions in its new division, including cutting 190 administrative, back-office and management jobs, and closing seven freight terminals.

Wow, whats next? First they fire your ass then they don't like where you go work at. Its just to make an impact on the other LTL companies so they wont HIRE X CONWAY WORKERS, because if they do they can end up suing their asses too. What kind of a man does this kind of shit? l know who. Mr. Adolf Hitler Jacobs he'd rather see you out in the cold, without a job. This man has no soul. He'd also rather see these people suffer and not provide for their families, just to make his own benefit. For all the management positions that got fired that talked to the union was no good for workers. What happened? Kissing ass didn't get you anywhere. Drivers the time is now or never! Lets vote the union in, "Fear is your worst enemy." Vote Yes 2016

I was thinking the same thing. So you fire people then basically want them to find a new career? If prices are cheaper at company A, then thats where customers will go. If I want to drive at company A, will I be sued too?

I heard a rumor about xpo going to dock pay if motor moves are not at par, did anyone else hear this and is that even legal? Same with dwell times if they are high. Someone told me they heard from a supervisor and he told him they may do this in April? Which makes me wonder why we're hiring more part time dock now.

Anonymous said...

I haven't talked to the teamsters yet, I was thinking of going but before I do, do I just go in and tell them we should have a vote at my terminal? Or are they going to ask for personal information. Or are they going to have me try to recruit more employees to talk to them? Will they just show up one day in the parking lot and get votes? Is this just for drivers or all workers?

Dear,
Thanks-curious not happy xpo driver

You first need to determine what your Local teamster chapter is. Google your city with Teamster in it. You then can call and ask to speak to a rep about organizing a vote at your center. They will usually meet you anywhere at any time within reason. If you can get a few more to go along with you even better. They can explain the details then but sign a card and get it rolling. That will give you protection. We set up a spot on our forum for XPO in case you want to get more organized without prying eyes or chat about it. http://freightunited.is/union/

Aha! Big corporations fighting each other, over their own employees, i thought in united states, was like a free trade, once you leave a company, any individual has the right to find a better future someplace else, because of this move XPO, YOU HAVE SIGNED YOUR OWN DEATH WARRANT!!!, ALL TRUCKING COMPANIES WILL GANG UP AGAINST YOU, JUST LIKE THEY ALL TRIED TO BRING YRC DOWN, IN 2008, WHEN THE ECONOMIC CRISIS HIT HARD. HAPPY HUNTIN'G

Ula why you guys so quite now you all scared again Union yes saw a ghost of past more than once get going don't be afraid

Ula is buying into the fear!! We are trying to get them on board. Maybe Ulx can motivate them tell them how much better you have it

It will be very difficult to for XPO to prove that they "Stole" trade secrets.
All the sales people that are named on the lawsuit are sales that were given an agreement to sign at the time they were "laid off" saying that they could not work for a competitor for 2 years or poach customers and employees. If they signed the agreement they would get a couple more weeks of pay.

I'd assume these sales people did not sign the agreement which would alleviate them from paying any damages/facing any disciplinary actions, which makes this one big joke of a lawsuit. This is just a way to put fear out there for everyone else.

YRC isn't even #3 LTL provider, I don't know why they would feel the need to go to these lengths... unless someone's ego is bruised.

Remember if the company can't keep it's drivers then they serve no purpose of existing...

The XPO organizing starts today. Teamsters organizers will be handing out flyers in San Antonio, Austin, and Houston, TX. This is our opportunity to get involved in helping and organizing more terminals. Don't wait until your're unemployed or terminated to do something, just like those 190 office employees who got terminated 2 weeks ago or dock workers and drivers who are getting laid off, while independent contractors are taking our work.
United, we have the power to change our futures for the better, we the employees have the power to CHANGE XPO.

Only people making money at XPO is their attorneys!!!

WELL THE PROBLEM IS THAT PEOPLE ARE TO IGNORANT TO REALIZE THAT THEY HAVE THE POWER TO CHANGE THEIR LIVES THAT THEY HAVE THE POWER TO CHANGE THEIR FUTURE AND MOST OF ALL TO CHANGE THE WORLD! BUT LIKE I SAID THEIR TO IGNORANT TO REALIZE THE POWER THAT THEY HAVE UNTIL ITS TO LATE AND USUALLY THAT'S WHAT HAPPENS, ALL THEY WANT TO DO IS COME IN TO WORK AND JUST DO A DAYS JOB MAKE THEIR 8HRS AND GO HOME??? NOT KNOWING THAT THEY CAN DO ALL THAT AND LIVE BETTER DOING THE SAME THING THEY DO EVERY DAY BUT LIVING BETTER LIVES, BUT LIKE I SAID THEIR TO IGNORANT TO REALIZE IT, THEIR NOT STUPID THEY JUST LIVE IN THE COMFORT OF EVERY DAY LIVING DAY BY DAY GETTING BY AND THAT'S THE PROBLEM!! PAY CHECK TO PAY CHECK!!!
PS:ASK YOURSELVES HOW THE EXECUTIVES FEEL ABOUT HAVING A CONTRACT?
PRETTY F****KEN GOOD!!! ( BUT LIKE I SAID THEIR TO IGNORANT !!! ) 1 DAY THEY ALL WILL FIGURE IT OUT UNTIL THEN THEY WILL ALL BE IGNORANT !

SO XPO JUST HAD SOME BIG METTING A FEW DAY'S AGO.MR.JACOBSON and HIS MANAGEMENT HAD A GOOD OLD LAUGH AT OUR EXPENSE,SPECIALLY AT DOES WHO THINK HIS A FAMILY MAN AND WON'T CUT JOB'S.AS HE PUT IT..THIS IS A BUSINESS AND WERE HERE TO MAKE MONEY(PROFITS IS WHAT WE NEED TO WORK ON).XPO HAS ALOT OF REDUCTION PLAN'S ACROSS THE EMPLOYEES...SO AGAIN. DON'T BE SURPRISED IF YOU GET A PINK SLIP..JUST LIKE THIS EMPLOYEES..

XPO, which was doing business as Jacobson Warehouse Co. Inc. at the Whitsett facility, notified the state about the planned layoffs through a WARN notice (Worker Adjustment and Retraining Notification). The layoffs are expected to occur on or about April 11 at the Whitsett facility, which is located at 6550 Judge Adams Road. The affected positions include administrative assistants, managers, material handlers and inventory control associates...

OH YEAH AND HIS NOT SELLING TRUCKLOAD BECAUSE HIM AND HIS MANAGEMENT ARE TRYING TO KISS ASS..BUT IT'S JUST A SMOKE SCREEN BECAUSE THEY'RE WORRIED THE WORKERS MIGHT ACTUALLY UNITE..BUT WE KNOW THEY HAVE NOTHING TO WORRY ABOUT.TO MANY PUPPETS AT THE NEW XCONWAY.

Anonymous said...

USB is scared to even say the word union at home inside their own house on their day off let alone answer the door haha Union yes !!!

Anonymous said...

PEOPLE THE REASON HE'S NOT SELLING TRUCK-LOAD FOR NOW!! IS SIMPLE BECAUSE OF THE IN AND OUT OF MEXICO AND THE MONEY THAT IT GENERATES OR UNTIL THE CONTRACT RUNS OUT, DON'T KID YOURSELFS HE WILL SELL IT TO GET ALL HIS MONEY BACK AND MORE UNTIL THEN HE WILL KEEP IT.AT LEAST THAT'S WHAT I WOULD DO?
TO PREDICT THE FUTURE WOULD BE IMPOSSIBLE BUT TO PREDICT THE SALE OF A PART COMPANY THAT YOU HAVE THAT YOUR NOT GOING TO NEED BECAUSE YOU ALREADY HAVE ONE, IS POSSIBLY PREDICTABLE? I MEAN WHY WOULD YOU NEED 2 TRUCK- LOADS IN THE 1ST PLACE. AND IT'S JUST A MATTER OF TIME BEFORE HE STARTS CUTTING WASTE AGAIN.

Gary Kowalski, the former unit's chief operating officer, also left Friday, XPO also confirmed. According to two industry sources, Bob Bassett, the former unit's vice president, sales and marketing, has left, as has Carl Fowler, vice president of sales and solutions, who is believed to have been Bassett's heir apparent prior to the XPO acquisition. Also departing is Mike Greene, a vice president who, according to his LinkedIn profile, oversaw the company's largest high-tech account, which was unidentified.

Bassett was let go Friday, and Fowler and Greene left yesterday, according to one source...

OH WELL WHO CARES ABOUT THIS GUY'S ANYWAYS? THEY MADE ENOUGH MONEY FOR THEIR FAMILIES AND TO RETIRE WITH.. SO IM SURE WHEN BRADLEY STARTS CUTTING US WILL BE THE SAME FOR US. NO WORRIES WE MAKE ENOUGH MONEY.

That's seems to be the growing trend ,up here in Mi. Everyday is slower than the day before, favortism, asked to stay home and burn your pto time or not get paid at all,low hours, less and less Linehaul runs, disgruntled drivers ,dropped trailors, harassment about your dwell time to just get hurried out on the street on p&d runs to put in some empty miles with nothing much to do,customers that are unhappy and are all starting to disappear and only plan they have is they say they want to make money, but who the hell don't! Looks like a plan where our money will soon start coming from the unemployment line! You might want to start working on your resume fellows!!!

Anonymous said...

SAME IN NLB. EVERYBODY IS STARVING. NO INBOUND OR OUTBOUND FREIGHT AT ALL. SETTING 8-10 DRIVERS ON P&D EVERYDAY. SETTING 5-6 LINEHAUL DRIVERS EVERNIGHT. WENT FROM CLOSE TO A MILLION A DAY TO 500,000 OR LESS. GETTING WORSE

Anonymous said...

It's so bad here in Michigan we sit and watch all the other carriers move the freight we use to have. Our sales team keeps telling us we don't want freight that doesn't pay. But all the carriers that took out freight are building New terminals, and buying New equipment! And there drivers seem fine. I don't know what's going on with this company but our competitors are passing us bye!!!!

Anonymous said...

Most of our competition up here in Michigan have gotten raises in the last 3 months, and we're supposed to wait a year!!! Most likely XPO will take from us and they'll use the we did not make as much profit excuse!!! Because we lost all are freight and treat customers like shit

Anonymous said...

Same at usk.getting slower by the day

Third-party logistics and freight transportation services provider XPO Logistics said late last week that it has commenced a workforce reduction for its less-than-truckload (LTL) unit, which it acquired from Con-way, when XPO acquired Con-way last year.
XPO said these efforts will cut annual costs by more than $20 million against a targeted operating profit improvement of $170 million-to-$210 million over two years, adding that to date around $50 million of expected annualized savings have been achieved since XPO officially acquired Con-way on October 30.
In an interview with LM, XPO Chairman and CEO Brad Jacobs said that these moves were a planned reduction that is part of the company’s larger strategy for LTL, which it had intended to do since the Con -way transaction was closed. We want our LTL business to be a more leaner, results-oriented, with less waste and more productivity,” said Jacobs. “We had a goal of $170 million-to-$210 million over two years and in three months we have already moved more than $50 million towards that goal, which includes $20 million from these actions and over $30 million from steps we took in the fourth quarter. Our plan is very much on track, and the integration is off to a strong start.”explained that with the recent appoint of Tony Brooks as LTL president, coupled with high company morale...
SO I ASK YOU PEOPLE. HOW'S YOUR MORALE??? DO YOU ALL FEEL GOOD ABOUT WHAT XPO MANAGEMENT IS DOING??

Anonymous said...

What's next at you guys waiting for a miracle??????

Anonymous said...

They are cutting costs on everything to make their bottom line and number's look good for a few quarters so they can turn around and flip us for record profit to the highest bidder why do u think No one has uniforms or signs on trucks yet all they did was put one on a new truck and drive it around the country to shut people up for a whIle and buy some time.. go usb yes

Anonymous said...

The MORALE is at an all time low!! Worst I have seen in 20 years at Conway! Asking senior drivers to burn PTO so the younger and newer driver can work and keep a little paycheck. On February 13 I delivered pizza as a favor to help a friend on Saturday before Valentines.
My tips and pay from delivering pizza were more than I made at XPO that week and I got a nice extra large pizza to take home for later, it is not a career move but at least, it help pay bills something I have been unable to do lately.

How come the freight is getting lost and damaged if we are slow? I'm asking to understand. All day long I hear customers complaining about it. When I bring it up to ops it's we're doing great - "claims are down, on time svc all time high". I think the execs are being fed BS info to spare the hides of certain upper mgmt. Talk to the customers and front line employees to get the real story. Stop being spoon fed garbage by Clark and his regime. They lying to you Jacobs and gang. Things is real bad.

Anonymous said...

Why isn't the union doing something?

Anonymous said...

How are those that are at centers being closed going to like driving an hour or more to the next closest center twice a day? Just to piss off those guys who have worked there for awhile and got shafted when you dovetailed in, not by your own choice. But hey have you seen the nice XPO calendars that have made their way to customers walls yet?

Anonymous said...

What are you doing? Teamsters are helping us organize but without your help and the rest of your fellow workers at your terminal it's gonna be hard to help you. If you need help let me know I'm one of the divers involved with the organizing at ULA,LLA and NMA. Don't wait till it gets worst to start organizing.

Anonymous said...

Here is some more great news to get everyone's MORALE UP....

The increasing focus by Amazon on building out an in-house delivery network is seen as a potential long-term threat to UPS (UPS -0.8%) and FedEx (FDX -1.5%).
Though Amazon has said it's not looking to replace partner carriers, the company gains leverage by adding logistics capabilities and advancing delivery initiatives...

I'm sure this will help our jobs be secured... But again who will the customer choose? A 3rd rate company or a Company That's well known? And no union will help save anyone's job. When Amazon takes over the LTL industry.

I am a wife of Con-way Freight at a small terminal, is this the reason my husband has been depressed he is not telling me what is going on at work, but he is getting sent home work seems to be very slow, he also stopped spending money and I am so confused as to why, I started searching for answers as to what could be bringing this man's morale so down ran across this blog.

Can anyone give me words what's going on. I don't want to ask him questions as he was/is proud working for this company 29 yrs.

Do we need put money away ?

Anonymous said...

That's the reason why we need the union to avoid al kind of problems.like familiar problems or work problems.

Anonymous said...

Yes things are slow. Conway over hired dock workers and drivers, and now there isn't enough work for everybody, and when XPO bought us out they haven't reached out to the drivers. Nobody really knows what there plan is. They have been quite. Most of us are going day by day just waiting for something to happen good or bad like I said no one really knows. It's been stressful for all of us. That's why a lot of us want to go Union, but we can't seem to get enough drivers to do it. All I can say is probably wouldn't be a bad idea to put some cash away until something happens

Maybe you people didn't see the post i put up about xpo having to come up with 250 million in cuts. According to them they've only done 50 million in cuts.where is the other 200 million going to come from??
And remember we're all happy about the cuts our morale has never been higher according to Mr Jacobs. That's do to all the xconway kiss asses...
But if anyone wants change for the better then vote for representation and get a contract signed.. Remember the contract gives us the power. Laredo worker's you want change then get that contract finished and sign then you can change all the harassment and favoritism in your location either wise most of you will just be bullied..
And Remember everyone they still need to come up with 200 million. From where and how is the question?

This is for the conway wife. Yes you better save up your money because after your husband has given his life to Conway now he's too old to get another job.Companies are looking for young workers they don't need old people. So if he gets laid off good luck to you and your family.

Times are about to get difficult for most of us specially for all you old timers who loved Doug Stotler. But dont blame anyone else but your selves. You all let this happen.

Yeah you might have gotten .50 cent. But don't forget they tax that...Or at least in calif they will... What happened with the end of the year bonuses? Last time we got one it was 200 dollars and then they taxed the shit out of it. So it came out to be 120 dollars. And according to Doug and his management team it was the biggest bonuses that conway had ever paid out.. Most were kneeling in front of Doug thanking him for it. But i guess 120 is better than a pink slip..RIGHT!!!

A .50 raise is a disguise for a pay cut.... You will actually make less money if you figure the cost of living increase and taxes

Anonymous said...

HEY WITH THAT $.50 RAISE NOW ALL YOU ASS KISSERS CAN KISS XPO'S ASS OR MAYBE THEY BOUGHT MOST OF THE WEAK MINDS WITH $.50 CENT YET THEIR CUTTING EDGE AND GETTING RID OF PERSONAL AND CLOSING TERMINALS, BUT YET BRAD JACOBS HAS THE AUDACITY TO BUY HIS EMPLOYEES WITH .50 CENTS.
HEY MR JACOBS HOW ABOUT GIVING US A $2.00 RAISE SO WE WON'T HAVE TO VOTE FOR UNION REPRESENTATION.
OH WE'RE SORRY WE, YOU BOUGHT THEM FOR $.50 CENTS THAT'S RIGHT THAT WHY MR JACOBS IS FILTHY RICH. AND ALL OF YOU ARE IGNORENT PEASANTS.
GOOD LUCK WITH YOUR $.50 CENT RAISES.

United and Strong said...

No union threat = a 50 cent an hour raise? That is about 2% increase. Average cost of living increase is 3%. So you just lost 1%. Good thing gasoline is cheap right now. A quick history lesson: union threat = $2 an hour. You must be united as a unit or divided you shall all fall. Where you sit depends on where you stand. If you want a seat at the table you better start standing up for yourself. It is not impossible, some of you have stood together and are working on a contract. Same goes for your brothers at FedEx. They have gone through the same struggles and are getting treated like you as well. Both companies need more drivers united. Both companies need more centers to vote yes. Then more power will come to us all but not until then.

Not a union guy but working for a larger company with more than 20 people, it seems like rules get made up or not followed, random write ups, performance talks, equipment favortism, nothin special 401k, etc. Won't this happen even more with a union in place? I talked to abf drivers alot and they say abf is very strict on rules and they're with teamsters. One guy said he got talked to cuz he didn't take the correct route one day. Is that what it would be like if we went union?

Remember this even tho you have a union the company still has rules that need to be followed by an Employee of that company, with in the guidelines of the contract between the Employer and employees.. Now if you don't have thoes guidelines or a contract like we are now with conway-xpo-or fedex the company can and does change thoes guidelines as they see fit. And if you read your employee book you will find it writen in there The company can and will change rules as they see fit also that your employment is at the company's discretion. You as an Employee can be let go as the company sees fit. And you as an Employee have no rights..
With a union you are given certain rights as to your employment. The company can reprimand you for breaking the rules but they can not just fire you at will. You as an Employee have due process before you get fired... And you might be thinking .well who makes the contract between the employee and the company??? That contract is made by the(union)employees and the company..
The union representative is there to make sure a contract is legal and it's followed.
I don't think paying $65 dollars a month in dues is to much.to have better rights ,pay and benefits at the work place...or is it?
Ps. I know people think i might be a union rep. But no people I'm not a union rep. I work for the same slave driving company you do (XPO).
And the reason i would like to see the union come into xpo is because we the workers need to change the way this company's treat us. We shouldn't be slaves to this company's we should be partners in these companies.. We the workers make the company's what they are.without us their is no company.

Tell the union to put it ion writing lol

February 23, 2016 at 8:08 AM"

By the same token tell XPO to put it in writing. Guaranteed they will never do such a thing either. The union guarantee's a seat at the table, that is where it matters. It's a two way street driver. You must think outside the box.

Why are you paying $200 a week in dues to stay out of the union is the real question you should ask yourself.

I've never seen drivers so terrified in my life about a union.how do you call yourself a man??? This is absolutely pathetic,it saddens me to work around a bunch spineless degenerates.service center managers, supervisors knows who is stupid that why there going to keep sliding it slow into your rectum with no lubricant. Wake up idiots!!!

Yes,We will get $200 ICP check on March 11,that ICP Check will not make up for the hours your husband is not working that's why we need union representation.

That's probably a dock worker from ULA repeating union buster talking points. Shows how stupid and ignorant this guy is. How is the union gonna put it in writing when we vote no for union representation and not have a seat at the table. If you like the CBA vote yes, if not vote no.

Believe me when I say I am not being UNGRATEFUL and Don't get me wrong something is always better than nothing, but $200 is a Joke out of that money you will have to pay your Taxes Unf****ken Ridiculous. Whatever XPO.

I hope you read all of this because your husband is going through what all of us have been going through for some time. It's getting real ugly and they are laying off left and right. Closing terminals down and losing freight like crazy. They do not care about employees at all as far as drivers, DOCKWORKERS ... They have lost so much freight with the lean shit it will never be right again. For the sake of you and your husband set money aside and do it quick. People have been trying to get Union in for a long time but there are some that thought they had it made. Now it's getting ugly for all employees people need to wake up and vote it in ASAP.

XPO reported a 62.8 million dollar loss. Ship is sinking

Anonymous said...

Huge debt is going to catch up to them eventually and the employees are going to suffer for management's bad decisions

Anonymous said...

now XPO is suing R&L because three sales reps quit and went to R&L...so they are not just concerned about big wigs doing this. they go after ANYONE who jumps ship

Most dsr have been working here for along time and don't think there is life outside Conway /XPO but the reality is there is the teamster Union has been around a lot longer than Conway /XPO and many of the freight company's many union members working in many different fields with a better life future working Union is always better don't just trust the company after all time after time they only care about theirselves and the CEOs have a contract good for them it's good for us UNION YES

XPO is also looking for LTL savings in outsourced linehaul. The company put $550 million worth of contracts with third-party carriers that handle its LTL linehaul up for bid, the first request for proposal for that business since 2009. Jacobs declined to estimate savings from the RFPs.

People get ready

We spoke to 1 of the Insiders of R&L and they were saying XPO doesn't have Shit on any one of them, they QUIT so they didn't need to SIGN anything that's why XPO BRAD JACOBS IS PISSED in the End he won't get Jack.Because, WE DIDN'T SIGN NOTHING!
