ReplyDeleteThere's a lot of options that have to be explained to the losing terminals. One of those options is striking the company. Under federal law the union could strike the company for the ULP's (unfair Labor Practices) that the company committed. Under that law anyone who goes out for the day or so that the union will strike could honor that strike and not be fired for it. Think about it WE NEED TO CREATE UNITY AND POWER! so that Conway will stop all the bullshit that it does to keep us from moving forward and creating a better work conditions.

Thanks, Pat. Good morning. On the call today, I'm joined by members of our senior leadership team, including Con-way's CFO, Steve Bruffett; Con-way Freight President, Greg Lehmkuhl; Menlo Logistics President, Bob Bianco; and Con-way Truckload President, Joe Dagnese. Steve will provide some commentary on our financial picture, and Greg, Bob and Joe will participate in the Q&A portion of the call.
All of our business units delivered improved results in the quarter led by the performance of Con-way Freight, which recorded a more than 50% increase in operating income compared to last year's second quarter. In conjunction with the release of our quarterly results yesterday, we also announced 2 initiatives designed to return meaningful capital to shareholders, along with an increased level of pension funding for 2014.
Regarding the shareholder initiatives, our Board of Directors authorized a $150 million share repurchase program and a 50% increase in our common dividend. Given the progress we have made toward our financial objectives, we have reached the point where we can redeploy a portion of our cash balance to fund these shareholder initiatives while maintaining a strong balance sheet. Steve will provide more detail around these actions during his commentary later in today's call.
Moving to the second quarter's financials. I'll provide an overview of our results. In the second quarter of 2014, Con-way reported consolidated revenues of $1.49 billion compared to $1.38 billion a year ago. On an operating income basis, we earned $102.7 million this quarter compared to $76.3 million last year. Diluted earnings per share were $0.93 compared to $0.75 in the prior year period.
On a non-GAAP basis, earnings per diluted share in the 2014 second quarter were $0.91 compared to $0.68 in last year's second quarter. Non-GAAP items consisted of tax-related adjustments and gains on sale of property from both years, and an increase in reserves for international bad debt in the prior year.------------IF YOU NOTICED THATS ONLY THE 2Q.

ReplyDeleteIn 1975 the United States Supreme Court, in the case of NLRB v. J. Weingarten, Inc., 420 U.S. 251(1975), upheld a National Labor Relations Board(NLRB) decision that union members have a right to union representation at investigatory interviews. These rights have become known as the Weingarten Rights.
What is an Investigatory Interview?
An investigatory interview is one in which a Supervisor questions an employee to obtain information which could be used as a basis for discipline or asks an employee to defend his/her conduct. If an employee has a reasonable belief that discipline or discharge may result from what s/he says, the employee has the right to request Union representation.
Examples of such an interview are:
The interview is part of the employer's disciplinary procedure or is a component of the employer's procedure for determining whether discipline will be imposed.The purpose of the interview is to investigate an employee's performance where discipline, demotion or other adverse consequences to the employee's job status or working conditions are a possible result.The purpose of the interview is to elicit facts from the employee to support disciplinary action that is probable or that is being considered, or to obtain admissions of misconduct or other evidence to support a disciplinary decision already made.The employee is required to explain his/her conduct, or defend it during the interview, or is compelled to answer questions or give evidence.
It is an obligation of the Union to educate bargaining unit employees about theirWeingarten rights BEFORE an occasion to use them arises. An employee must state to the employer that he/she wants a Union representative present; the employer has no obligation to ask: the employee if she/he wants a representative.
During an investigatory interview, the Supreme Court ruled that the following rules apply:
Rule 1: The employee must make a clear request for union representation before or during the interview. The employee cannot be punished for making this request.
Rule 2: After the employee makes the request, the employer must choose from among three options:
grant the request and delay questioning until the union representative arrives and (prior to the interview continuing) the representative has a chance to consult privately with the employee;deny the request and end the interview immediately; orgive the employee a clear choice between having the interview without representation, or ending the interview.
Rule 3: If the employer denies the request for union representation, and continues to ask questions, it commits an unfair labor practiceand the employee has a right to refuse to answer. The employer may not discipline the employee for such a refusal.
Only Union Members Are Protected
Only employees who are in a union haveWeingarten rights. For a few years, however, this right applied to everyone. In 2000, the National Labor Relations Board (NLRB) extendedWeingarten rights to all employees, whether or not they were in a union. Con-way is subject to examination for federal income taxes for tax years 2008 forward. In 2013, Con-way entered the Compliance Assurance Program (“CAP”). CAP is designed to make audits more effective, efficient and current such that when the federal tax return is filed it has been approved by the Internal Revenue Service ("IRS").
ReplyDeleteIn 2012, the IRS finished its field audit of the 2008 through 2010 tax years and an issue emerged that resulted in an increase to the estimate for uncertain tax positions in 2012. Con-way settled this issue in 2013. Payment of the liability will occur in 2014.
In 2011, Con-way settled a disputed issue with the IRS that arose in the 2005 to 2007 audit cycle. This issue primarily related to the treatment and character of certain payments Con-way made to retirees and former employees of Menlo Worldwide Forwarding, Inc. and its subsidiaries (“MWF”) since the 2004 sale of MWF. Con-way and the IRS agreed in the settlement to re-characterize a portion of these payments as capital losses. The re-characterized portion may not be deducted, but may be used only to offset capital gains.
Con-way is also subject to examination by state, local, and foreign jurisdictions for 2003 to 2012. Con-way is currently under audit in many state and foreign tax jurisdictions, and management expects that, in the next 12 months, it is reasonably possible that the total of unrecognized tax benefits will decrease by $1.8 million. This decrease is primarily due to settlement agreements Con-way expects to reach with various tax authorities and by lapses of applicable statutes of limitations

We must say we have never heard so much BULLSHIT in our lives. How stupid do you think we are? You already have 2 terminals that ARE UNION, 3 more petitioned already and you still say no to a pension and better health insurance? Don't think we don't know your job and all the T.M's is on the line. Why do you think your making appearance here in the MIDWEST, been here years and never seen you in person, all of the sudden rumors of the Union and you show up and change the rules of drop trailers within weeks? Here's our problem, We the driver have been loyal to the company, we stood with Conway when things were rough, we took the biggest hit, we lost our pension, blue cross blue shield, huge bonuse etc. now that Conway is making record profits you splurge on yourself and forget about us. You invest in new terminals, new tractors, handheld, lean projects, cameras and forget about the most important piece of the puzzle US, THE DRIVERS. Without us none of those things I mention early mean anything. Invest in your employees or face the consequences that many more terminals will organize and be union. Here at XAU we know the laws, we HAVE the right to organize under law there is nothing illegal about it as long is its not done on company time or property. What is ILLEGAL is for you to ask is about anything related to the union! ReplyDeleteConway is as good as the government with premeditating outcomes of there operations and driver activity. But never predicted the TEAMSTERS to infiltrate. Never underestimate your enemy when you play just as dirty. He who gets laughed at gets the last laugh they say. Lemkuhl cant coward down now Im sure his CONTRACT states a for sure amount of money if he is terminated. GOLDEN PARACHUTE!!! Once again Conway raised our insurance deductible by $500. What little bit they give they take away from something else. Lemkuhl should start bargaining with TEAMSTERS because its not going away. Union meetings have been great education for employees who were not aware of labor laws. I personally have had people asking me about Conway and FedEx union movement and how they can get info on the NLRB. What has started in the LTL is making other men and women in other fields want the same. Time for hard working Americans to take a stand. Educate anybody you can about these sites and how to contact local reps. Midwest is totally on board and ready to strike with a force they never seen. Just remember every time they take you in for coaching and then at the bottom of the video the coach puts a comment lower right corner after you watch the video. They tell you that is not too discipline you just to coach you. I CALL BULL SHIT ON THAT!! EVERY EVENT GOES ON YOUR FILE CON-WAY IS CREATING A PAPER TRAIL. LIKE I SAW ON A OLDER POST AT CON-WAY WE NEVER LOSE A CASE NEVER! Next time you go in for coaching asked your coach where every coaching event goes and if it goes on your personal file.

Full Time New Hire Wage Progression
All Supplements, Riders or Addendum will contain the following wage progression schedule to cover all full time employees, except apprentices and helpers who have not yet attained seniority as of August 1, 2013.

3.2 Working Forman
Working Foreman shall receive twenty-five cents (.25) per hour above the rate in the classification in which they work.
3.3 Night Differential
Full time night workers, employed on or before July 1, 1977, shall receive, night differential of seventy-nine cents (.79) per hour.
