Logistics company says trucking giant sought employees and confidential information after XPO acquired Con-way Inc.

XPO Logistics Inc. is suing competitor YRC Worldwide Inc. over the hiring of several former employees, alleging that the trucking company conspired to steal customer and pricing secrets by poaching its executives.
The lawsuit, filed Feb. 3, pits two of the largest trucking companies in the U.S. against each other over the trade secrets that are at the heart of the highly competitive freight shipping market.
The complaint grew out of XPO’s takeover last October of Con-way Inc. and its Con-way Freight unit that is the second-largest in the country offering less-than-truckload service, in which shipments from multiple customers are combined on trucks. YRC Freight is No. 3 in that market.
In its complaint, XPO asks the court to order YRC to return any trade secrets and company information it holds and to stop employing for a year former XPO employees, including two top executives who had come to XPO through the company’s acquisition of Con-way.
XPO alleges in the complaint that two of the employees, longtime senior executives at Con-way Freight, had “informally” accepted job offers with the competitor weeks before their departures but delayed their resignations. XPO said it believes that was so the executives could get more “confidential information and trade secrets, including but not limited to its most valuable competitive strategies” as XPO prepared to restructure the Con-way operation.
A YRC Worldwide spokesman said in an email that the company declined to comment on the complaint.
The lawsuit comes after XPO, which under Chief Executive Bradley Jacobs has used a rapid series of recent acquisitions to become a multibillion-dollar freight brokerage and transportation services provider, moved directly into the trucking market last year with its $3 billion purchase of Con-way.
Last month, YRC said it had hired former Con-way executives Paul Lorensen and Chet Richardson as vice presidents. XPO said the executives had moved to YRC last November, days after the XPO acquisition had closed.
XPO said in the lawsuit that Messrs. Lorensen and Richardson were “highly compensated, given extensive training, and entrusted with XPO Freight’s highest level of Confidential Information and Trade Secret.” It said the executives were part of a steering committee that worked closely with McKinsey & Co. on a strategic project to transform the company, and helped develop potential new segmented service offerings aimed specifically at competing with YRC.
Reached by phone, Mr. Lorensen said he would have no comment on the complaint. Mr. Richardson did not respond to emails and other messages seeking comment on the allegations in the XPO complaint, and a YRC spokesman said he and Mr. Richardson wouldn’t comment on pending legislation.
The lawsuit accuses YRC of encouraging the executives to “remain surreptitiously at XPO Freight for several weeks before ending their employment,” of falsifying offer letters and of encouraging the executives to disclose the confidential information.
In addition, XPO said, “YRC is offering each poached sales employee a special commission or bonus for each XPO Freight customer they bring with them to YRC.”
The other employees named in the lawsuit were sales and operations personnel hired by YRC that XPO said had “confidentiality obligations.”
Since acquiring Con-way, XPO made a series of cost reductions in its new division, including cutting 190 administrative, back-office and management jobs, and closing seven freight terminals.

ReplyDeleteI was thinking the same thing. So you fire people then basically want them to find a new career? If prices are cheaper at company A, then thats where customers will go. If I want to drive at company A, will I be sued too?
ReplyDeleteI heard a rumor about xpo going to dock pay if motor moves are not at par, did anyone else hear this and is that even legal? Same with dwell times if they are high. Someone told me they heard from a supervisor and he told him they may do this in April? Which makes me wonder why we're hiring more part time dock now.
ReplyDeleteI haven't talked to the teamsters yet, I was thinking of going but before I do, do I just go in and tell them we should have a vote at my terminal? Or are they going to ask for personal information. Or are they going to have me try to recruit more employees to talk to them? Will they just show up one day in the parking lot and get votes? Is this just for drivers or all workers?

You first need to determine what your Local teamster chapter is. Google your city with Teamster in it. You then can call and ask to speak to a rep about organizing a vote at your center. They will usually meet you anywhere at any time within reason. If you can get a few more to go along with you even better. They can explain the details then but sign a card and get it rolling. ReplyDeleteIt will be very difficult to for XPO to prove that they "Stole" trade secrets.
ReplyDeleteAll the sales people that are named on the lawsuit are sales that were given an agreement to sign at the time they were "laid off" saying that they could not work for a competitor for 2 years or poach customers and employees. If they signed the agreement they would get a couple more weeks of pay.
I'd assume these sales people did not sign the agreement which would alleviate them from paying any damages/facing any disciplinary actions, which makes this one big joke of a lawsuit. This is just a way to put fear out there for everyone else.
YRC isn't even #3 LTL provider, I don't know why they would feel the need to go to these lengths... unless someone's ego is bruised.
Remember if the company can't keep it's drivers then they serve no purpose of existing...

This is our opportunity to get involved in helping and organizing more terminals. Gary Kowalski, the former unit's chief operating officer, also left Friday, XPO also confirmed. According to two industry sources, Bob Bassett, the former unit's vice president, sales and marketing, has left, as has Carl Fowler, vice president of sales and solutions, who is believed to have been Bassett's heir apparent prior to the XPO acquisition. Also departing is Mike Greene, a vice president who, according to his LinkedIn profile, oversaw the company's largest high-tech account, which was unidentified.
Bassett was let go Friday, and Fowler and Greene left yesterday, according to one source...

Everyday is slower than the day before, favortism,asked to stay home and burn your pto time or not get paid at all,low hours,less and less Linehaul runs,disgruntled drivers ,dropped trailors,harassment about your dwell time to just get hurried out on the street on p&d runs to put in some empty miles with nothing much to do,customers that are unhappy and are all starting to disappear and only plan they have is they say they want to make money,but who the hell don't! DeleteIt's so bad here in Michigan we sit and watch all the other carriers move the freight we use to have. Our sales team keeps telling us we don't want freight that doesn't pay. But all the carriers that took out freight are building New terminals, and buying New equipment! And there drivers seem fine. I don't know what's going on with this company but our competitors are passing us bye!!!!

ReplyDeleteThird-party logistics and freight transportation services provider XPO Logistics said late last week that it has commenced a workforce reduction for its less-than-truckload (LTL) unit, which it acquired from Con-way, when XPO acquired Con-way last year.
ReplyDeleteXPO said these efforts will cut annual costs by more than $20 million against a targeted operating profit improvement of $170 million-to-$210 million over two years, adding that to date around $50 million of expected annualized savings have been achieved since XPO officially acquired Con-way on October 30.
In an interview with LM, XPO Chairman and CEO Brad Jacobs said that these moves were a planned reduction that is part of the company’s larger strategy for LTL, which it had intended to do since the Con -way transaction was closed.We want our LTL business to be a more leaner, results-oriented, with less waste and more productivity,” said Jacobs. “We had a goal of $170 million-to-$210 million over two years and in three months we have already moved more than $50 million towards that goal, which includes $20 million from these actions and over $30 million from steps we took in the fourth quarter. Our plan is very much on track, and the integration is off to a strong start.”explained that with the recent appoint of Tony Brooks as LTL president, coupled with high company morale...

ReplyDeleteThe MORALE is at an all time low!! Worst I have seen in 20 years at Conway! Asking senior drivers to burn PTO so the younger and newer driver can work and keep a little paycheck. On February 13 I delivered pizza as a favor to help a friend on Saturday before Valentines.
ReplyDeleteMy tips and pay from delivering pizza were more than I made at XPO that week and I got a nice extra large pizza to take home for later, it is not a career move but at least, it help pay bills something I have been unable to do lately.
How come the freight is getting lost and damaged if we are slow? I'm asking to understand. All day long I hear customers complaining about it. When I bring it up to ops it's we're doing great - "claims are down, on time svc all time high". I think the execs are being fed BS info to spare the hides of certain upper mgmt. Talk to the customers and front line employees to get the real story. Stop being spoon fed garbage by Clark and his regime. They lying to you Jacobs and gang. Things is real bad.

Though Amazon has said it's not looking to replace partner carriers, the company gains leverage by adding logistics capabilities and advancing delivery initiatives...
I'm sure this will help our jobs be secured... But again who will the customer choose? A 3rd rate company or a Company That's well known? And no union will help save anyone's job. When Amazon takes over the LTL industry.
I am a wife of Con-way Freight at a small terminal, is this the reason my husband has been depressed he is not telling me what is going on at work, but he is getting sent home work seems to be very slow, he also stopped spending money and I am so confused as to why, I started searching for answers as to what could be bringing this man's morale so down ran across this blog.

DeleteYes things are slow. Conway over hired dock workers and drivers, and now there isn't enough work for everybody, and when XPO bought us out they haven't reached out to the drivers. Nobody really knows what there plan is. They have been quite. Most of us are going day by day just waiting for something to happen good or bad like I said no one really knows. It's been stressful for all of us. That's why a lot of us want to go Union, but we can't seem to get enough drivers to do it. All I can say is probably wouldn't be a bad idea to put some cash away until something happens

ReplyDeleteWow!!! I just got a .50 raise that will for sure cover the cost of living and increase cost of medical and retirement ext..... The union would have gotten us $2 raise minimum plus no cost insurance and a pension!! All you x-con ass kissers are probably jumping for joy not realizing you actually took a pay cut at .50
ReplyDeleteYeah you might have gotten .50 cent. But don't forget they tax that...Or at least in calif they will... What happened with the end of the year bonuses? Last time we got one it was 200 dollars and then they taxed the shit out of it. So it came out to be 120 dollars. And according to Doug and his management team it was the biggest bonuses that conway had ever paid out.. Most were kneeling in front of Doug thanking him for it. But i guess 120 is better than a pink slip..RIGHT!!!

ReplyDeleteNo union threat = a 50 cent an hour raise? That is about 2% increase. Average cost of living increase is 3%. So you just lost 1%. Good thing gasoline is cheap right now. A quick history lesson: union threat = $2 an hour. You must be united as a unit or divided you shall all fall. Where you sit depends on where you stand. If you want a seat at the table you better start standing up for yourself. It is not impossible, some of you have stood together and are working on a contract. Same goes for your brothers at FedEx. They have gone through the same struggles and are getting treated like you as well. Both companies need more drivers united. Both companies need more centers to vote yes. Then more power will come to us all but not until then.

ReplyDeleteHow many people need to vote yes to get a union started? Milwaukee has 200+ people working along with alot of part time dock workers. We're hiring more dw even though we have enough people now and some drivers scratching to get 8 a day. When asking management, they say you aren't guaranteed 8hours.

Not a union guy but working for a larger company with more than 20 people, it seems like rules get made up or not followed, random write ups, performance talks, equipment favortism, nothin special 401k, etc. Won't this happen even more with a union in place? I talked to abf drivers alot and they say abf is very strict on rules and they're with teamsters. One guy said he got talked to cuz he didn't take the correct route one day. Is that what it would be like if we went union?
ReplyDeleteI worked at Conway now I'm working at ABF it's a total different world we get respect from management,no favoritism,no stress,no deductible or premium pay for my Cadillac health insurance,I worked overtime everyday You have to fuck up big to get in trouble that Abf driver out of his route he probably didn't tell you were he really was. I know most Conway/Xpo employees will not have a problem working under a union contract. don't believe the lies about Union ask yourself why companies spend a lot of money on union busting it's not for the best interest of the employees.corporate leaders want the freedom to fuck employees whenever they want.
DeleteThe union is a representative for the workers.The union is in place to keep the contract between the Employer and employees active. Remember this even tho you have a union the company still has rules that need to be followed by an Employee of that company, with in the guidelines of the contract between the Employer and employees.. Now if you don't have thoes guidelines or a contract like we are now with conway-xpo-or fedex the company can and does change thoes guidelines as they see fit. And if you read your employee book you will find it writen in there The company can and will change rules as they see fit also that your employment is at the company's discretion. You as an Employee can be let go as the company sees fit. And you as an Employee have no rights..
DeleteWith a union you are given certain rights as to your employment. The company can reprimand you for breaking the rules but they can not just fire you at will. You as an Employee have due process before you get fired... And you might be thinking .well who makes the contract between the employee and the company??? That contract is made by the(union)employees and the company..
The union representative is there to make sure a contract is legal and it's followed.
I don't think paying $65 dollars a month in dues is to much.to have better rights ,pay and benefits at the work place...or is it?
Ps. I know people think i might be a union rep. But no people I'm not a union rep. I work for the same slave driving company you do (XPO).
And the reason i would like to see the union come into xpo is because we the workers need to change the way this company's treat us. We shouldn't be slaves to this company's we should be partners in these companies.. We the workers make the company's what they are.without us their is no company.

By the same token tell XPO to put it in writing. Guaranteed they will never do such a thing either. The union guarantee's a seat at the table, that is where it matters. It's a two way street driver. You must think outside the box.
Why are you paying $200 a week in dues to stay out of the union is the real question you should ask yourself.
My husband is being sent home early everyday, today he lost 4hrs of work no one knows nothing everyone is quiet its getting very scary. He did tell me they were told ICP checks will be in on March 11th

DeleteI hope you read all of this because your husband is going through what all of us have been going through for some time. It's getting real ugly and they are laying off left and right. Closing terminals down and losing freight like crazy. They do not care about employees at all as far as drivers, DOCKWORKERS ... They have lost so much freight with the lean shit it will never be right again. For the sake of you and your husband set money aside and do it quick. People have been trying to get Union in for a long time but there are some that thought they had it made. Now it's getting ugly for all employees people need to wake up and vote it in ASAP.
