XPO closes purchase of Con-way; layoffs begin within Con-way system

More than 10 percent of workforce is cut at HQ, IT center, source says; rebranding to XPO name takes effect.

It wasn't long after XPO Logistics Inc. announced today that it had finalized its $3 billion acquisition of trucking and logistics provider Con-way Inc. that the bloodletting began at Con-way's headquarters in Ann Arbor, Mich., and elsewhere.

XPO will cut more than 10 percent of Con-way's workforce at Ann Arbor and at its Portland, Ore.-based technology center, according to an individual familiar with the situation. Between 2,500 and 3,000 employees work at both locations, the individual estimated. Included in the cuts will be an entire layer of Con-way upper management, whose elimination will save its new owner about $28 million a year; the managerial segment was not adding much value to the organization, according to the individual.

Also on the chopping block is an 80-person group devoted to developing and implementing "lean" management principles, an ambitious efficiency program that Con-way has championed for years. Shortly after the deal was announced in early September, Bradley S. Jacobs, Greenwich, Conn.-based XPO's chairman and CEO, met in Ann Arbor with leaders of the project and came away dubious that the benefits of the work justified the size of the current headcount, according to the individual.

The individual said that Con-way's drivers are likely not included in the layoffs. It is also unclear whether there will be further rounds of cutbacks

Executives who remain with XPO will be required to sign a two-year noncompete agreement, the individual said. The requirement could result in an exodus of top-level employees, who may wish to stay, but may worry they will find their hands tied should they subsequently find opportunities elsewhere in the industry.

The cuts, which had been expected internally for weeks, include employees in administration, operations, sales, and information technology, according to the individual. XPO declined comment other than a statement from Jacobs in announcing the deal's close that "we're moving quickly to eliminate redundancies and leverage our scale to better serve our more than 50,000 customers." At the time the deal was announced, XPO pledged to improve Con-way's operating profit by up to $420 million over the next two years. Part of that will come from cost cuts.

Con-way's four operating divisions—Con-way Freight; truckload carrier Con-way Truckload; third-party logistics-services provider Menlo Worldwide Logistics; and freight broker and intermodal marketing company Con-way Multimodal—have been rebranded as XPO Logistics. Menlo and Con-way Multimodal will be immediately integrated into existing XPO Logistics units operating in identical segments. Con-way Truckload, which as Contract Freighters Inc. was bought by Con-way in 2007 for $750 million and which today might fetch a little more than half that, will likely be sold for what Jacobs believes is the right price. He has said the unit might have value as a hauler of brokered freight.

Jacobs said earlier this month that XPO had received three unsolicited offers for Con-way Truckload. He wouldn't identify the bidders or the price of each offer.

Con-way Freight generates about $3.3 billion in annual revenue, which is more than half of the parent's $5.8 billion in revenue. It is known for providing excellent customer service, but in recent years has struggled to operate efficiently, or as profitably as many investors would like. Con-way Freight has specialized in the premium segment, where time in transit is compressed and service levels are relatively high. However, about three-quarters of LTL traffic moves in slower, more economical services, an area where the unit had little, if any, involvement.

Jacobs said earlier this month the new LTL unit will focus far more on the economy category, and could leverage the network of the former Pacer International, an intermodal provider with a great deal of equipment that XPO acquired in early 2014.

XPO has engaged recruiting firm Spencer Stuart to find a replacement for Joseph M. Dagnese, the head of Con-way Freight, who had been expected to leave the company at the time the deal closed. The complexity of integrating Con-way, and in particular positioning the LTL unit for future success, means that XPO will take its foot off the acquisition brake for at least a year, Jacobs said recently. Through 17 acquisitions in the past four years as well as internal expansion, XPO has gone from a company that didn't exist in late 2010 to a $15 billion firm today.

I bet xpo will put a stop to a lot of waistfull spending they all ready started they won't stop until it's done, the line haul drivers skipping around like get out my way I'm better than you not all are like that but most, they will run city with a big cut in pay or be gone ,and I welcome the pay cut and benefits cut also, they should have voted union.

Wait till xpo gets the full picture of all the waist at different terminals, I mean since when does a driver get a desk and doesn't drive, yes xpo,gets drivers wages and doesn't break freight, or deliver or pick up freight , a lot of that goes on all over the country, no wonder were not as profitable as we could be.crappie like that will eventually take down a company.

  12. Here in Orlando NOF I can only hope that XPO would look into the waste that is ran pent in conway! I agree 100% with the changes in corporate there is so much waste. Lean? conway has a army of drivers that all they do is implementing lean and don't even drive anymore! In Orlando you have freight operations managers that have a driver as a lead that does his job while he does nothing. 4 drivers at 24.77 an hour that don't even drive anymore that's 200,000 a year + benefits is that really necessary? Then you have the same drivers that every week get 55+ hours every week while 90% of drivers struggle to get 40 hours and all of this goes on nation wide. And while 90 % of all terminals get overtime only a small percentage all in the southern region we get treated like second class citizens is that fair? I can only hope that some of that bloodletting comes to orlando!

  13. This is exactly what happened to Viking Freight system in San Jose, FedEx/American Freightway shutdown Viking Frt main office.
    And after the change of operations, it got worse, XPO will implement more rules after rules were it will create a system for the drivers to fail.
    This system is a system to eliminate old to replace with new young generation for less money, you'll have nothing but yes sir generation...mark my words here brothers, I've seen this before at Viking Frt and will happen to you guys too.

  24. What's going to happen to overpaid terminal managers who were demoted from FAC'S to small terminals? And what will happen to DOO'S who were demotted as well? Will they continue to.get their high.paying ssalaries eventhough they don't have those positions anymore.   25. read up on XPO they have more rules then con-way ever had and the pay is less. if you read between the lines it says that things will stay the same for 2016 then they will look at pay and bennifits so hang on your pay will go down in some places and up in others and we will lose our VVP you will no longer get a raise just to get a raise it will be on merit bassed pay that is how xpo works so all of you guy that did not like con-way or lean or safety you are the ones that will get hurt the most because you are the lazy ones at XPO/ con-way and won't get a raise. for those of us that worked hard and did what was asked of us like lean and safety we will still do great and make o/t because we are'nt afread to do what is asked of us by XPO you give it 3 months and you guys will be crying the blues over XPO.

  31. SCM at LHW is pressing drivers on their dwell time. He makes them back their trl. to the dock and load their own pallet jack. That takes time cause they have to get in line and wait their turn. Very frustrating. Somethings got to give. Very pushy.

  33. So I'm just wondering if you people seen the XPO advisors walking around there locations yet? If you seen them,My suggestion is to go home and get started on your resume. because like i said before. the XPO hammer has started to slam down.and XPO is all about leveraging and making cuts to make profit.Just in case some of you need somewhere to apply.OD,ABF,C+L are Hiring for different positions.I would say Fedex to but Fedex is almost as bad as Con-XPO. As for YRC they need to get their shit straightened out.If they get some new leaders to take care of the workers it would be a great place to make a career out of driving. I do believe all of us in this industry need to unite and fight for a better tomorrow. It's up to us though don't n just sit around waiting for change.

If you want some measure of protection when it comes to having a voice in the work place or job security, YOU MUST ORGANIZE AND FILE FOR CERTIFICATION WITH YOUR TEAMSTERS LOCAL. It is irrelevant who owns the company, you are protected from retaliation by law. No one will ever know whether or not you signed a card and no one will ever know how you voted when election time comes. Alone, you are powerless against the company. Together, you have a chance. Corporations have only ONE PRORITY...profit. IF YOU THINK THEY CARE ABOUT YOU, PLEASE THINK AGAIN. Work stoppages should be reserved for the most severe situations. We have NO IDEA what Mr. Jacobs has planned for us, however, we should prepare for any situation that may arise. The UNION is the only answer. On to another subject , has anyone seen a decrease in line haul runs , and also city freight as well , I'm betting our line haul will be cut drastically, xpo went from what 170 to 210 million in 2 years from us to 410 million in 2 years , there is no way unless he does away with Line-haul totally and cuts our workforce to bare minimum along with the lowest possible pay he can get out of what's left.

  55. All this talk about wages, benefits, etc. and no one mentions anything about quality of work life. We spend a great deal of our time at work and it is something to think about. As far as I know ABF is the only good union LTL company to work for. Why do think that is? We definitely want to be well compensated for our work but I for one don't want to run around in poorly maintained equipment delivering damaged freight all the time like YRC. How will unionizing balance out everything? Will will just be trading problems? BTW I thought that the Lean initiative was geared toward problem solving to deliver more value to our customers, thereby grow in our business and benefit all of us. I realize that there is a lot of waste going on but I just don't see what we're going to benefit by going union.

    1. If you're worried about having a nice, new truck rather than the benefits of being Union, maybe the union isn't for you. The union is about having job security,
      excellent benefits, and having a voice on the job. The equipment isn't the greatest but that's why you have a voice. If you deem the equipment not safe then
      you can refuse to drive an unsafe vehicle. Try doing that at a non-Union carrier. I can tell you the grass is greener here until I turn blue but you won't knowit until you see it.

I bet if we were to take them to court just on that we would win a settlement on all the money they owe us.conway can steal from its workers because there's no union there and no contract

    XPO Logistics Inc., fresh off the purchase of trucker Con-way Inc., could reap as much as $520 million by selling the new acquisition’s line-haul unit to help pay debt, according to a Bloomberg Intelligence analyst.
    A buyer probably would be willing to pay 4.4 times to 5 times the business’s annual earnings before interest, taxes, depreciation and amortization, Bloomberg Intelligence’s wrote in a note on Friday. That would imply a value of $460 million to $520 million for Con-way’s so-called truckload unit, he wrote.
    Debt reduction wouldn’t be the only benefit from a divestiture. It also could ease investor concern that Chief Executive Officer Bradley Jacobs was tilting XPO toward being a trucker with its own fleet and away from its roots as a freight broker with relatively few rigs. Con-way, bought for $3 billion, also operates a larger, short-haul trucking business.

Good morning my fellow co-workers just so all of you around the region know, MIA/NMF is still #1 with a high racial of 97% of Operation and still holding strong well as far as Manipulation of the numbers well you can all see, in all the year's I've been here this has never happen. But as far as " INTEGRITY " is Concern it is down the drain when last year 1 of our DSR had 2 Accidents and Tardiness a bunch of times and still got employee of the year now if that's not Manipulation of the numbers or the System?? then I don't know what it is, and that's why my friends we are still in the same situation that we are but better now with Respect Dignity and Integrity.

  72. OK drivers how slow is it ? In Tulsa ( ltu ) it is real slow , I expect layoffs, Line-haul has dropped significantly day and night , city is real slow they are giving out CC days like candy at Halloween, our line -haul wouldn't be real slow but sub-service I don't need to say anymore about that, besides our line-haul drivers like sub-service they must because they won't do anything about like go union to get them out.

I'm gone ride it out till after holiday season is over and it's peace out. My friends say that I don't have no loyalty. The only person I'm loyal to is me and providing for my family. This is 2nd company I been under that sold out and it didn't last 2year's. So peace out Conway/xpo or whatever the hell it is.
