Teamsters: XPO spends $3.5 Billion in wages stolen from California truckers to buy French company

Today, XPO Logistics, whose port truck drivers at subsidiaries Pacer Cartage ("Pacer") and Harbor Rail Transport ("HRT") are currently on strike at the Ports of Los Angeles and Long Beach and at Pacer facilities adjacent to the U.S.-Mexico Border, announced the acquisition of French 3PL Norbert Dentressangle for $3.5 Billion in cash and debt.
Statement by Fred Potter, Director of the International Brotherhood of Teamsters Port Division:
"We are shocked to learn that just as XPO Logistics battles the company's immigrant port truck drivers in California Superior Court to avoid reimbursing them more than $2 Million in illegal deductions stolen by the company's subsidiary, Pacer Cartage, from their paychecks, the company has gone on what is being called an "acquisition spree." The timing of the announcement is particularly shocking in light of the fact that Pacer Cartage and Harbor Rail Transport drivers are currently on strike from Los Angeles down to the U.S./Mexico border to protest the company's illegal business and labor practices."

"I can't help but wonder if the reason that XPO has enough cash on hand to buy another company for $3.5 Billion isn't because they are avoiding business expenses like payroll taxes and equipment maintenance by misclassifying us as independent contractors. I worked 48 hours a few weeks ago and they deducted so much from my check that I literally made zero dollars. This just isn't right." On Wednesday, April 29, 2015, starting at 2:30 PM (Pacific time), striking port truck drivers from XPO's subsidiary Pacer Cartage will be joined on the picket line at Union Pacific's Los Angeles Transportation Center (LATC) by hundreds of allies.

About Pacer/XPO Logistics
XPO Logistics, operating through subsidiaries Pacer Cartage ("Pacer") and Harbor Rail Transport ("HRT"), is among the top five trucking companies servicing the Ports of LA and Long Beach as well as intermodal rail yards in the area. HRT is the company within the XPO Logistics group that specializes in moving goods to and from the ports, while Pacer Cartage specializes in moving goods to the rail yards. There are approximately 280 misclassified drivers working in both companies in their LA area locations and 90 additional drivers in Pacer Cartage's San Diego location. - In March 2014, the California Division of Labor Standards Enforcement (DLSE) issued findings in the wage claims of seven individual drivers from Pacer San Diego, all of whom it found to be employees who had been illegally misclassified as independent contractors. The DLSE awarded these drivers a combined $2.2 million. Pacer appealed these seven awards to the California Superior Court, San Diego and the court has filed a tentative ruling upholding the DLSE's decision.
- Pacer Cartage is also facing a class action lawsuit due to the company's alleged willful misclassification of employees. This lawsuit involves about 662 drivers; the estimated liability amounts to more than $5 million.
- Additionally, three misclassification lawsuits that name 150 drivers as plaintiffs have been filed against XPO Logistics' companies. All of these cases remain pending.

Con-way, with its market capitalisation of $2.3bn, must have noticed that deals were being done in the $1bn-$5bn range – and at highly attractive multiples, which means it ought to be easy for the company to attract new investors and access debt or equity capital, or find itself subject to a blow-out offer from a trade buyer....An obvious target.
hen XPO Logistics announced yesterday that it would acquire ND for €3.2bn (including €1bn of net debt), offering a cash premium of 34%, its own stock rose 16% as the combined entity will almost certainly deliver rising growth rates, while loading the balance sheet with manageable debts – which are likely be refinanced at a cheaper rate anyway. Morgan Stanley has provided a financing commitment for up to $2.6bn, XPO said.
Con-way could be a palatable target for European buyers seeking grow in North America to boost their own valuation via an accretive deal. Its stock is cheap, based on trading multiples, and currently trades in line with the level it recorded about a decade ago. It isn’t as troubled as other US rivals, such as UTi Worldwide, and it is trying to become a more efficient entity...
Such a high price tag is virtually impossible to achieve, but then Con-way could easily fetch a 30% premium, in which case its equity would be valued at $3.1bn, for an enterprise value of $3.4bn – which is bang in line with the value ascribed by XPO to ND...How much did XPO pay for Conway?

With all the elections and so many turning out as no to the union. I made my mind up to leave and give up my years of service. But one thing that changed my mind was that cock sucking bastard Roger Martin. He wanted us to pull expired rental trailers. Run over weight and call us picky S.O.B if we didn't. Plus it didn't help the company made 38 million profit in the first quarter. But we couldn't get better health insurance. Now I'm with a union carrier. ReplyDeleteAccording to Con-way’s website, experienced drivers can earn anywhere between $0.38 and $0.44 per mile based on how many miles a driver has under his or her belt. On Thursday, an XPO spokesperson declined to comment on what the acquisition would do to driver pay rates, but CEO Bradley Jacobs told Bloomberg that drivers were “very important” and XPO intended to keep all the drivers.
According to a press release, Douglas Stotlar, Con-way’s president and chief executive officer, will serve in a non-executive advisory capacity during a transition period. Con-way’s management will not be part of the joint company.
XPO expects the acquisition to begin positively affecting earnings per share within the first 12 months. This will be made possible by XPO’s expectation of increasing annual operating profit of Con-way from $40 million to $210 million over the next two years via (Lean List they mean to say)cost savings and operational improvements....

ReplyDeleteDrivers make this company. I am not a driver, I work at Corporate in Ann Arbor. Management had no clue the Board of Directors made this decision. The owner of XPO (didn't care to remember his name) is about making money for investors and money. Of course the goal of a business should be successful but things are going to go to hell over the next year. I will give everyone the same advice I gave myself: to start looking for another job. The minute that ink dries he will make sure everyone forgets that Con-Way even existed. And the sad thing is the thing I value most is the culture and that shit is going out the window. All their "big" people are middle class white men, no women or minorities. The shift from that iron fist ruling to the free reign leadership is over. This is a sad day!

A number of analysts and consultants, including Stifel’s David G. Ross and SJ Consulting Group’s Jindel, recently have urged Con-way’s board to make changes, whether spinning off subsidiaries or appointing new executives, to improve the company’s profitability.

ReplyDelete!!!On an investor call today, XPO’s Jacobs said XPO and Con-way will leverage their combined technology infrastructure to reduce Con-way’s $227 million IT budget, adding that XPO has identified significant opportunities to improve purchasing and vendor management, adding that with greater purchasing power and best practices it will lower external spend for not just technology but also facility operations, equipment purchases, fuel, professional services, maintenance, and supplies, among others.
Another significant opportunity identified by Jacobs is integrating Con-ways freight brokerage business into XPO’s and move it onto XPO’s Freight Optimizer technology, which he said will allow XPO to share capacity and data, while seeing major savings by reducing the $3.6 billion in combined spend in purchased transportation.
“We will use the larger flow of data from our combined $2.7 billion of freight under management to identify carriers, assign loads and…build backhaul more efficiently,” said Jacobs. “In addition, we will tap our extensive intermodal network to improve LTL linehaul efficiency, shifting a portion of the freight to rail.”
As far as LTU most will eat out of your hand and drink lot's of Kool-aid XPO has nothing to worry about in tulsa,Oklahoma or 95% of conway so XPO cut wages and anything else you now own a herd of cowards.

ReplyDeleteHR dept has played the most negative impact on this company. They have run the company into the ground by not supporting the Mgt team and only supporting the drivers. I work in HR and have done investigations all in the NAT and Florida areas. I'll say this.....we did get rid of people that will most likely end up in lawsuits soon. Only because we have no substantial evidence for performance issues. Employees speak a different tune. People were let go because the DOO's decision to get a new start in that terminal so the unions wouldn't come in. We say we do it all for the employees but Its not. It's for the machine that is breaking down and been broken for awhile. Yes, there will be more terms coming and the HR dept will be included downstream.

This is when they wake up, ok people we must have a wage decrease, we must cut linehaul by 80 percent untill we can get it to 100 percent, and i know your concerns on if we can do it and keeping the company profitable, and yes we at xpo appreciate your concerns and will reward you by letting you run teams with our over the road carriers, and we wont forget our hardworking p@d drivers we believe 15 to 19 dollors a hour will be sufficient due to the fact your hours will be limitless overtime after 80 will be given welcome to XPO and thank you.

DeleteSorry all. I'm in Corporate and have to say I got word of my last day. Can't announce due to confidentially reasons. This is a fast take over and if your reading this start looking for another job. It's been a long road but they messed up the company from the practicality roots of what we were founded on. Stay small and offer great service, price high and take care of the employees. Conglomerating and the greed of the decision makers ran it down hill. You all see that who have been here for some tenure. It's unfortunate that the majority of Ann Arbor will be dismissed. The new HQ will be at their main office. Union or not its over and XPO will be implementing their own structure throughout the network.

ReplyDeleteSad to say all ltl are fucked look at what Union carriers have taken away and not given back FedEx gives a small pay raise but no retirement but somehow bought TNT transport for something like 4 billion Old Diminion pays no overtime until after 60 hours The true is we at every carrier all being jerked over to where there's no turning back eventually Union carriers like UPS and YRC will be drove out because the can't compete with bargaining because they have much more overhead with paying there employees fairly. This is the doing of our great government having organizations built like ALEC where they can change laws without any of the citizens having rights to vote people do your research and you'll find out it's our government that allows these crooks to screw us by paying them off! Mr Jacobs told The Loadstar that XPO Logistics had tabled a proposal to buy Menlo from Con-way a couple of years ago, but due to tax structures was unable to structure a deal.
Con-way had a very low tax base, so that if we just bought Menlo they would have had to pay a lot of tax without realising much value – so it became impossible just to buy that one part of the business.
But after we bought ND, our appetite for buying companies with an asset base increased. We realised the value that having assets could bring us in terms of customer conversations,” he said.
He added however, that revenues from asset-based operations would only account for a third of XPO’s total revenue and that capital expenditure amounted to just 3.3% of revenues.
Nonetheless, he said that the crown jewel in purchasing Con-way would be Menlo.
he deal is expected to close at the end of October, and there is likely to be considerable back office rationalisation once Con-way has ceased to be a publicly listed company.
In addition, few of its senior management are expected to remain. Current chief executive Douglas Stotlar will serve in a limited role as an independent advisor until the end of the first quarter of 2016.
Mr Jacobs, who will initially lead the combined company, told The Loadstar: “We will bring in new management. Some of the operational guys at XPO have raised their hands, but we will also be recruiting from outside.”
He also shed light on the recent departure of former ND head Herve Montjotin as chief executive of XPO Logistics Europe: “It became clear to both Herve and I that the management structure just wasn’t lean enough – his departure was simply about efficiency.But we have some great managers in Europe – Malcom Wilson is running contract logistics and Luiz Gomez transport – and they have been with the company a long time,” he said.

We are talking to several medium-to-large companies that are active in truck brokerage, last-mile deliveries and contract logistics, and they are very attractive opportunities for us that require a large funding base.
“There is nothing definitive or signed but the level of discussions is very high, both in terms of the number of companies and their size,” he said.
With the $700m and further possibilities to raise debt, the company now has over $2bn to spend and, as a result, it has raised its 2017 financial targets to approximately form revenues of $7.5bn to $9bn and EBITDA from $425m to $575m, which Mr Jacobs said was “strictly due to the revenues and profits that will come from acquisitions”.

Union or not that company was probably going to move to China regardless. the fact that it never paid out the wage increase means it intended to move regardless of the union demand. But you fail to see a trend of low wages in the US, and you don't see the rising cost of living. you can speak from an individual perspective, but cannot see the picture.

ReplyDeleteYour FedEx brothers are here in support. We are truly concerned about your future. We wear different shirts but at the end of the day we are all working to support our families. We have seen what happens first hand when you get bought out. Time is of the essence and if you can't get any traction at least form a workers committee at your centers. Draft a letter of what you want to protect and gain just like you were working on your first contract. Have as many drivers sign this list as you can then send certified copies to the company and labor board. This now covers you under the same rules as if you were under the Teamsters organizing umbrella without the sign a card part. Use this as a stop gap until cards can be signed. I am a dock worker and I like my job. I get paid a decent wage for the work that I do. All I want is for whatever plan this jerk is cominug up that he lets us know in time so that we can determine whether we want to stay or not. It seems to me that Jacobs is not in tune or concerned about guys like me. All I want to know is that if you are going to cut my pay, cut my job out, give me a heads up. I have read employee reviews of XPO and they are not good at all....It would be unfair for management to let them give us the high hard one without a warning.My first impression is that Jacobs is not concerned with the culture that Conway has strived to maintain. He is all about making money for shareholders and the little man be damned. Yes....we need a union..but most of all we need some people with some backbone to stand up for their rights. ReplyDeleteJust ran into a xpo driver here in Michigan. He said he only makes $14 an hour he does 4 stops a day home daily and insurance is worse than ours. Are you guys still buying in to xpo's bullshit!!! They will bring us down

They have terrible reviews online. How does a smaller company buy a bigger company? Come on, they will slash and gash to pay that 2 billion loan from jp Morgan back. FedEx announced a 4.9% rate increase on Jan 4 2016. They must think they will get lots of cwf business. Read up, stay informed.

ReplyDeleteI don't see the point in organizing or signing cards now. Con-way is DONE. Once xpo takes over it won't mean anything. XPO will keep itself protected from labor organization by doing exatally what it has said it would do in its press statements. It will hire subcontractors to do everthing. There is a reason why it is hard to find driver, mechanic, dock worker and dispatchers jobs at xpo on the internet and why they won't tell us if we have to rehire because they don't plan to hire any of us. They will hire low bid sub contractors to TRY and meet their needs. FACE IT, THE GIG IS UP. There is no integrity, no commitment, no safety, no nothing left in the corpse that is the old conway and we have heard nothing from xpo to tell us different. THE GIG IS UP. now go to work tomorrow and do a good job.

ReplyDeleteLadies and gentlemen the letter that we received from Conway freight to all the terminals is from Conway freight not from the new acquired company XPO Logistics also Conway freight will no longer exist after October 31st this means that their promises of not changing anything for the next year is absolutely or probably a lie, and also if you notice when you read the letter of guarantee which doesn't mean a fucken thing there is no signature on the bottom of any of the three letters whatsoever, also this means that where is the Guarantee? this letter is bullshit nothing but a fucken joke.PS: show actual shows Conway is fucking us again people open your funking minds don't be ignorant or stupid Union all the way.

ReplyDeleteBelieve me...I am wide awake. The future is very uncertain and it's very scary for a 60 year old driver that has been with Conway right at 25 years. It's not like the younger guys that can say..."oh well, I'll just get another job". Not much market out there for the senior drivers. So if they want to hold on to a bit of hope, let them. They know the score. No sense in bashing them while they are worried, sleepless, and full of anxiety.

He couldn't pass his d.o.t physical because he's too fat and out of shape so Jeff(SCM) gave him a nice little desk next to Chris(Jeff's bitch) Lester(dsr) down in the garage where they both sit on their asses 60 plus hours a week doing nothing. I'm sure xpo isn't going to hire a 40 year old fat ass that can't pass his d.o.t physical and I'm pretty damn sure their not going to give him 60 hours a week to go buy donuts on Fridays and make soup in the winter like Jeff did Lmfao. It don't look good for the Cablevision workers. But only the workers that voted the Union in are protected. Here is a video clip of what the Brooklyn Union workers are saying. ReplyDeleteDo you go to work each day to earn money? If so then congratulations... you are exactly like everyone else from the bottom to the top of the food chain.your just like Doug stotlar and Brad Jacobs. You agreed to do a job for the pay. It is nothing more than a business transcation. If you cashed your check and it didnt bounce, then the weekly transaction is complete. If the money is in your 401k, thrn the transaction is done. The reality is that conway and any business only provides health care and other benifits to make sure that their HUMAN RESOURCE MACHINE is operating effeciently. The HR machine is just like a truck, it needs maintained. Benifits and health care are nothing more than HR maintenece. How could anyne really believe tha a company cares for you or you family? You must be a sucker. There are however managers and fellow employees that do genuinely carE but it is not the company. The company like a dollar has no feelings. it exists only to generate profit for its shareholders for which most of you on this blog are shareholders. The company owes you nothing other than the compensation for the tasks you performed on its behalf. The union is also a business that only exists to serve it's shareholders. The question is do u want to become a shareholder of a union or can you do better on your own. Thats a pretty tough question. Do yourselves a big favor and realize that a company or a union doesnt care about you or your family. Thats your responsibilty. Shareholders of unions and companies take risks and deserve return for their investments. Get real, quit whining and go earn a living. There is always a job with a good wage and benifits. Especially in trucking. Even a jackass like Brad Jacobs has a boss. So does the janitor and so does everyone else. The bosses name is dollar bill shareholder. You may think that conway or xpo is screwing you. You may not like the way you were treated while working there but dollar bill shareholder is the one pulling all the strings. Dollar bill also pulls all the strings at the union as well.
Look people this is pretty good advice this blogger has given but let's be honest with ourselves. If it wasn't for the history of the union we would be still working without being paid without OT no matter what the set amount of hours a company sets to get OT. Yes we need to look out for ourselves even if it calls for being in a union, pay your tax deductible dues and get those strings pulled that is in your best interest. It's not about whinning, people at CON-WAY has just put too much of their faith in a company that was just run by corrupt leaders. It's seems to be that people are just too scared and have depended on this company for too long to make all their personal decisions. Where do all of us go from here only time will reveal. Take heed to the suggestion the blogger has given manage your money and life choices as best you can even in the midst of life's unexpected circumstances but there's is a GOD that's in CONTROL of all this calamity so hold on to your FAITH.

ReplyDeleteI'm a former conway employee. Myself and a few few other guys at my barn started the union drive. I got cards signed, I went to union meetings, spoke out against management, anti union coworkers and the union busters. I signed a notice of organizing a union and had it sent to my SCM. I fought the good fight for the union. But I was fired from conway on trumped up chargers. The union I supported filed a nrlb case with a shit load of evidence to support me in getting my job back but the nlrb sided with conway. The union I supported did have me work with them for a few months while waiting to see what happened with my nlrb case so I did have money coming in. The union did have my back I can say that. But I don't have any faith in the nlrb and I think the union handled the organizing of my former conway barn very poorly. I don't think the union has the man power or knowledge to go after LTL companies such as conway and FedEx. Needless to say I work for FedEx freight now but I don't think I'd do it again and try to get the union at my new FedEx barn. Not because I don't believe that the union isn't best for the working man and the company has my best interest at heart but because I don't believe the union knows how to get it done against these big powerful LTL companies and no backing from the nlrb I just can't be another casualty in the war union vs company. I have nothing but respect for the union and my fellow coworkers that stuck their necks out as I did in tying to get a union at Conway but speaking from the front line and have been through the war and seeing both sides of it till I see a better plan from the unions on going after these companies I'll be laying low at FedEx freight.
